Terms of Service

This Terms of Service (hereinafter "this Agreement") sets forth the conditions for using the diff tool software "Zifta" (hereinafter "the Software") provided by agarllup LLC (hereinafter "the Company"). Users (hereinafter "Users") who use the Software shall agree to this Agreement before using the Software.

Article 1 (Scope)

This Agreement applies to all relationships between the User and the Company regarding the use of the Software.

Article 2 (License Grant)

  1. The Company grants the User a non-exclusive, non-transferable license to use the Software in accordance with the terms and conditions set forth in this Agreement.
  2. The Software includes a "Free Version" that can be used at no cost, and a "Pro Version" that can be used by purchasing a paid license key.
  3. One Pro Version license allows the User to install and use the Software on a single computer that the User owns or manages. The Company reserves the right to terminate the license if it is installed or used on multiple devices without authorization.
  4. The Software may be used for personal or commercial purposes, but any commercial redistribution, such as resale or rental, is prohibited.

Article 3 (Prohibited Acts)

When using the Software, the User shall not engage in any of the following acts:

  1. Reverse engineering, decompiling, disassembling, or otherwise attempting to discover the source code of the Software.
  2. Copying, assigning, loaning, selling, relicensing, or distributing the license key to a third party.
  3. Bypassing any technical protection measures in the Software.
  4. Infringing on the intellectual property rights, privacy rights, or any other rights of the Company or any third party.
  5. Gaining unauthorized access to, or interfering with the operation or provision of, the Software.
  6. Violating any applicable laws, ordinances, or public morals.
  7. Any other acts that the Company deems inappropriate.

Article 4 (Intellectual Property Rights)

All copyrights, patents, and any other intellectual property rights related to the Software are the property of the Company. The license granted under this Agreement does not imply the transfer or assignment of any intellectual property rights to the User.

Article 5 (Disclaimer of Warranties)

  1. The Company does not warrant that the Software will be fit for the User's particular purpose, that it will have the expected functionality, accuracy, or usefulness, that its use will comply with applicable laws or internal rules, or that it will be free from defects.
  2. The Company shall not be liable for any damages whatsoever arising out of the use of the Software. However, this shall not apply in cases of willful misconduct or gross negligence on the part of the Company.
  3. Even in cases covered by the preceding proviso, the Company's liability for damages shall be limited to the amount the User actually paid for the Software.

Article 6 (License Migration)

  1. A Pro Version license is valid only for the single computer on which it was activated.
  2. If the User wishes to migrate the license due to unavoidable circumstances such as PC replacement or failure, the User shall contact the Company's support desk. The Company will respond by reissuing a license or taking other measures only when it deems the request to be reasonable.

Article 7 (Modification of the Agreement)

The Company may modify this Agreement at any time without prior notice to the User if the Company deems it necessary. The modified Agreement shall become effective when it is posted on this website.

Article 8 (Governing Law and Jurisdiction)

  1. This Agreement shall be governed by and construed in accordance with the laws of Japan.
  2. Any disputes arising in connection with this Agreement shall be subject to the exclusive jurisdiction of the Sapporo District Court in the first instance.
